Terms of Service

Last updated: September 24, 2026

1. Definitions

  • "Order Express" (also "we", "us") refers to the online ordering service operated by Acoya Ventures LLC, which builds and hosts a website and online ordering system for restaurants.
  • "Acoya" refers to Acoya Ventures LLC, the company that operates Order Express, together with any company it controls, that controls it, or that is under common control with it. Where these Terms say Acoya they mean that group of companies; everywhere else, "we" and "us" mean the Order Express service alone.
  • "Restaurant" (also "you") refers to the restaurant or business that uses Order Express.
  • "Customer" refers to any person who places an order through the Restaurant's Order Express website.
  • "Order" refers to a food or product order placed by a Customer through the Restaurant's Order Express website.
  • "Service Fee" refers to the flat per-order fee that the Customer pays to Order Express, described in section 3.
  • "Pay-in-Person Order" refers to an Order the Customer chooses to pay for in person at the Restaurant, in cash or otherwise, rather than paying online by card.
  • "Card on File" refers to the payment card the Restaurant saves with us, used only for the charges listed in section 5.
  • "Restaurant Content" refers to your menu, descriptions, prices, hours, logos, photos, and any other material you give us or ask us to publish.
  • "Equipment" refers to any physical device that Order Express provides, ships, or installs at your restaurant, other than a printer. Printers are dealt with separately in section 10.

2. The Service

Order Express builds and hosts an online ordering website for your restaurant, including an integrated online ordering and payment experience. Customers browse your menu, place orders, and either pay online or pay you in person. The service includes a dashboard for managing your menu, orders, and settings, and an Owner Portal mobile app for receiving and managing orders.

3. What You Pay, and What Your Customers Pay

  1. You pay us $0. No platform fee, no monthly fee, no setup fee, and no commission on your orders. This does not change based on how many orders you take.
  2. Your Customer pays a $1 Service Fee per order. This is Order Express's fee for the service, and the Customer pays it — not you. The exact amount is always shown to the Customer before they confirm their order.
  3. On card orders, the Customer pays the Service Fee as part of their online payment, and it comes to us automatically. Nothing is deducted from your money.
  4. On Pay-in-Person Orders, the Customer pays the Service Fee to you, in person, as part of what they hand over. Because that money reaches us through you, we bill it back once a month. This is described in full in section 4. It is the Customer's money passing through you to us, so the cost to you is still $0.
  5. Stripe's payment-processing fees are yours. Stripe charges its own fees on card orders and deducts them from your payouts. Those fees are set by Stripe, not by us, and we never add to them.
  6. There is no launch fee and no setup fee. We do not charge you to set up your website or your ordering system. Building and launching them is part of the service, at no cost to you.
  7. A receipt printer is optional, and costs $200 plus any sales tax that applies. The $200 is the price of the printer itself and nothing else. It applies only if you choose to buy a printer through us. We buy that printer on your behalf, so it belongs to you — see section 10. You can start and run Order Express with no equipment at all: the Owner Portal app receives your orders on a phone or tablet you already own, at no extra cost. Buy a printer only if you want tickets printed in your kitchen.

4. Pay-in-Person Orders and Your Monthly Bill

When a Customer chooses to pay in person, they pay you the food total plus the $1 Service Fee. You keep the food total. The Service Fee is ours, and you collected it on our behalf, so we bill it back to you once a month. You are never billed for a fee you did not collect.

A short plain-language summary of this section is available in English, Spanish, and Chinese. It is a summary only — this section governs.

  1. When we charge. On the 1st of each month, we charge your Card on File for the Service Fees on Pay-in-Person Orders placed before that day. One charge, covering everything still owed.
  2. Advance notice. Before your first-ever bill, and before any bill covering more than one month, we email you about five days ahead with the amount and the orders it covers.
  3. Your receipt. After every successful charge we email you a receipt showing the period, the number of orders, and the card charged. On your bank or card statement the charge appears as ACOYA VENTURES* OE FEE.
  4. Small balances wait. If you owe less than $1, we do not charge you. The balance simply rolls into your next bill.
  5. Cancelled orders are never billed. If an Order is cancelled, its Service Fee is removed and you are not charged for it. If we had already billed it, the amount becomes a credit applied to your next bill.
  6. If a charge fails. We email you and try again on a later day, up to three more times within the same month. We never charge you more than once successfully in a month.
  7. If it keeps failing. If every attempt fails two months in a row, we stop charging your card and email you. Nothing further is charged until you add a working card, and the unpaid balance waits for you. Adding a card resumes normal billing.
  8. No card on file. If you have no valid card saved, we do not charge you and the balance rolls over. We will email you to ask you to add one.
  9. Questions about a bill. If you think a bill is wrong, email us at admin@orderexpress.app. We will review it and refund anything we billed in error.

5. Your Card on File

  1. What you authorize. By saving a card, you authorize us to charge it for two things, and for nothing else: the monthly bill described in section 4, and the one-time $150 charge described in section 10, which applies only if we ask for our Equipment back and it is not returned. We do not charge your card for any other purpose without asking you first.
  2. Where your card is kept. You enter your card details on a page hosted by Stripe. Stripe stores the card; we never see or store your full card number. We keep only the card brand, the last four digits, and the expiry date, so we can show you which card is saved.
  3. You stay in control. You can replace or remove your card at any time from your dashboard. Removing your card does not cancel fees already owed, but it does stop further charges.
  4. Disputes. If you dispute one of our charges with your bank, we immediately stop charging that card and contact you to sort it out.

6. Payments and Your Stripe Account

  1. The money is yours, directly. Card payments are processed by Stripe and go straight into your own Stripe account. Order Express never holds, controls, or takes custody of your money.
  2. The Stripe account is yours. You hold your own Stripe account and your own Stripe dashboard, with your own login. Your relationship with Stripe is governed by Stripe's own agreement with you.
  3. Chargebacks and disputes are yours. If a Customer disputes a charge for an order, that dispute is between you, your Customer, and Stripe. You are responsible for responding to it and for any amount Stripe reverses. Order Express is not a party to it and cannot decide it for you. We will help you find the order records you need.
  4. Older accounts. If your Stripe account was opened through us before September 2026, it may have a more limited Stripe dashboard. We will help you move to a full account at no cost.
  5. If you disconnect us. You can revoke our access to your Stripe account from your Stripe dashboard at any time. If you do, we can no longer take card payments for you, and your ordering page will stop accepting cards.

7. Order Refunds and Cancellations

  1. Refunds are your decision. You decide whether to refund or cancel an Order. Order Express does not hold your funds and does not make refund decisions for you.
  2. Two ways to refund. For a card order, you can issue a full refund from your Order Express dashboard within 24 hours of payment; for your security we ask you to re-enter your password first. At any time, including after those 24 hours, you can refund from your own Stripe dashboard.
  3. Full refunds include the Service Fee. When an Order is refunded in full, the Customer's $1 Service Fee is refunded to them as well. We keep nothing on a fully refunded order.
  4. Partial refunds. If you refund only part of an Order, the Order still happened and the Service Fee stays.
  5. Cancelled Pay-in-Person Orders. See section 4: you are not billed for them, and if you already were, you receive a credit.

8. Your Website, Your Content, and Your Photos

  1. You own your content. Your menu, prices, descriptions, hours, logo, and photos are yours. Putting them on an Order Express website does not give us ownership of them.
  2. What you allow us to do with it. You give us permission to host, display, resize, and publish your Restaurant Content for the purpose of running your website and ordering system, and to list your restaurant and show that Content in an Order Express ordering app or marketplace. That permission ends when your account ends, except for copies we must keep for legal or accounting reasons.
  3. Photos we collect during setup. When we build your site we may copy photos from your existing website or listings and host them on your new site. Those photos remain yours. You confirm that you have the right to use the photos and other content you give us or point us to, and you are responsible if you do not.
  4. Stock images we supply. Some images we add to a site are licensed stock images, not yours and not ours. They stay with the Order Express site and are not transferred to you if you leave.
  5. The website software is ours. The site design, templates, and underlying software belong to Order Express. Your content is yours; the system that publishes it is ours.

9. Domain Names

  1. A domain you already own stays yours. If you already owned your domain and pointed it at Order Express, it is yours and always remains yours. There is no fee of any kind. If you leave, we simply disconnect it, and you can point it wherever you like.
  2. A domain we bought is ours. If Order Express purchased a domain for your restaurant, that domain belongs to Order Express. We pay for it and keep it renewed for as long as your account is active, at no cost to you.
  3. Taking a domain we bought with you. If you leave and want a domain we purchased, we will transfer it to you for a one-time $100 transfer fee. That $100 is the whole cost: it covers our work and any registrar transfer or renewal charge, and there is nothing further to pay. We will not refuse a transfer to a Restaurant that asks for one.
  4. How the transfer works. When you ask, we send you the domain's transfer authorization code. That code is what a transfer requires, and sending it to you is our part. The remaining steps happen at the registrar you are moving to: you or your new provider start the transfer there, and the code unlocks it. Those steps can only be taken by the holder of that account, which is you, not us. We do not open a registrar account for you, and we do not move your domain into another company's platform.
  5. You have 60 days to claim it. After your account ends, you have 60 days to ask for the transfer. During those 60 days we will keep the domain registered and will not sell it, transfer it to anyone else, or let it expire. After 60 days we may release it.
  6. We will not use it against you. While we hold a domain associated with your restaurant, we will not point it at a competing restaurant or sell it to one, whether or not you claim it.
  7. If a domain lapses by our mistake. If we let a domain we own for you expire while your account is active, we will make reasonable efforts to recover it at our own cost.

10. Printers and Equipment

  1. A printer you buy through us is yours. When you buy a printer through us, we purchase it on your behalf. It belongs to you from the day it arrives, and it stays yours if you ever stop using Order Express. You never have to send a printer back to us. A printer you bought yourself is yours in exactly the same way.
  2. Looking after your printer is up to you. Because the printer is your property, keeping it working is yours as well: we do not repair or replace printers. A new printer normally comes with a warranty from the company that made it. We buy the printer on your behalf, so we hold the purchase record — ask us and we will send you a copy, so you have what you need to make a claim with them.
  3. Equipment we provide stays ours. Any other equipment we supply or install at your restaurant remains the property of Order Express. We provide it at no cost for as long as you use the service: there is no rental fee, no deposit, and no recurring charge of any kind for it.
  4. Returning it costs you nothing. If your account ends and we want that equipment back, we will ask you in writing and send you a prepaid shipping label, or arrange to collect it ourselves. You never pay to return our equipment.
  5. You have 60 days, and we will not rush you. You have 60 days from the day we ask to send it back. If you need more time, tell us and we will agree a longer period.
  6. If you keep it, it is $150. If that period passes and the Equipment has not been sent back, we charge a one-time $150 to your Card on File for it. That is the whole of it: no interest, no late charges, and nothing further to pay. Sending the Equipment back in the prepaid box avoids it entirely, and we will always ask you first and give you the full 60 days.

11. Ending Your Account

  1. You can leave at any time. Email us at admin@orderexpress.app and we will close your account. There are no cancellation fees, no notice period, and no minimum contract.
  2. If we end it. We will give you at least 30 days' written notice by email before closing your account, so you have time to move. We may act faster only if the account is being used illegally, is harming Customers, or exposes us or others to legal liability.
  3. Unpaid bills. If a monthly bill goes unpaid, we will email you and keep trying as described in section 4. We will not shut off your website or ordering over an unpaid bill unless it is at least 60 days overdue and we have emailed you at least twice about it.
  4. What happens to your website. Your Order Express website and online ordering stop serving. For 60 days afterwards we keep your menu, site content, and photos, and we will send you a copy of them if you ask.
  5. What happens to your orders and Customer records. For 60 days after your account ends you can ask us for a copy of your order history and Customer records, and we will send it to you. After 60 days we delete them, except records we are required to keep for tax or legal reasons. One thing does not end with your account: where a Customer agreed to receive marketing email, that agreement is Acoya's own record, and Acoya keeps it and goes on honouring it, as described in section 12.
  6. What happens to your domain. See section 9.
  7. What happens to your printer and any equipment. Your printer is yours and stays with you. See section 10 for equipment we provided.
  8. Money already moved. Orders already placed and paid through Stripe are unaffected. Service Fees you collected in person before you left are still owed and will be billed one final time.

12. Your Data and Your Customers' Data

  1. Your Customer data is yours. The names, phone numbers, addresses, and order histories of people who order from your restaurant belong to you. We hold them to run the service for you.
  2. Acoya never sells it. No company in Acoya sells Customer data, rents it, or hands it to anyone outside Acoya for their own use. This promise binds every company in the group, not only Order Express.
  3. Customers who agree can hear from Acoya by email. At checkout, a Customer may agree to receive marketing email from your restaurant and from Order Express. Where a Customer has agreed, Acoya may email them about any of its products and services — an Order Express ordering app or marketplace featuring restaurants other than yours, and services that have nothing to do with restaurants or food ordering. Only Customers who have agreed are emailed, every message says who it is from, and every message carries an unsubscribe link.
  4. Acoya may use this data to build and launch new services. Acoya may use Customer and Order data across its products and services, including ones it launches in future, whether or not they relate to restaurants or food ordering. This is a right to use the data inside Acoya. It is not a right to sell it, and it is not a right to give it to anyone outside Acoya.
  5. That marketing list is Acoya's to run. The list built from those agreements belongs to Acoya, not to your restaurant. If a Customer asks to stop receiving those emails, or asks for what is held about them for that purpose to be deleted, they come to Acoya and Acoya handles it.
  6. None of this covers text messaging. Phone numbers and SMS opt-in information are not used for anything described above, and are not shared for marketing with anyone, inside Acoya or outside it. They are used only for the transactional order messages described in section 15.
  7. You can take it with you. You can view your orders in your dashboard at any time, and you can ask us for a full copy of your order and Customer data at any time. We will send it to you within 30 days, in a common format, at no charge.
  8. You handle requests about your orders. If one of your Customers asks to see or delete the order records held for your restaurant, you are responsible for responding, and we will help you do it. Requests about Acoya marketing email come to Acoya instead, and Acoya answers those.
  9. How we handle it in detail is set out in our Privacy Policy.

13. Customer Disclosures and Consent

  • Customers place orders through your Order Express website and agree to the applicable terms at checkout.
  • Customers may opt in to transactional SMS order updates at checkout, as described in section 15.
  • Customers are asked at checkout whether they agree to receive marketing email from your restaurant and from Order Express, as described in section 12. When a Customer agrees, we record that agreement and which version of the wording they were shown. A Customer who does not agree is simply not added to the list, and we keep no record of the refusal.
  • It is your responsibility to ensure that any additional disclosures required by your specific state or jurisdiction are presented to your Customers.

14. Data and Privacy

  • Order details are stored securely and are accessible to you through your dashboard.
  • Restaurant data (menu, hours, settings) is used to operate the service and, as section 8 allows, to list your restaurant in an Order Express ordering app or marketplace.
  • Customer phone numbers are stored for order fulfillment and are not shared with third parties except the providers listed in our Privacy Policy. They are never used for marketing, inside Acoya or outside it.
  • Order details are stored for order fulfillment and are not shared with third parties except those same providers. Inside Acoya they may also be used as section 12 describes.
  • Order records are retained for as long as needed for business, tax, and legal purposes.
  • You can request deletion of all your data at any time by emailing admin@orderexpress.app.

15. SMS Messaging Terms

Order Express sends transactional SMS messages to Customers in connection with their online orders. Customers opt in to these messages at online checkout, and by opting in agree to receive the messages described below.

Program description

The Order Express SMS program sends transactional order-status updates only. Specifically:

  • Order updates: messages such as a confirmation that an order has been received and a notice when the order is ready. These messages are strictly transactional and tied to a specific order. We never send marketing or promotional messages.

How Customers consent

Consent is collected at online checkout: by providing a phone number when placing an order, the Customer consents to receive transactional messages about that order. Only the phone number the Customer provides at checkout is used. Customers are never enrolled in marketing or promotional messages — all messages are strictly transactional and tied to a specific order.

Message frequency

Message frequency is order-driven. A Customer who opts in receives transactional order-status updates for the order they placed (for example, order received and order ready).

Opt-out and help

  • Reply STOP to any message to unsubscribe from future messages. We honor opt-outs immediately.
  • Reply HELP for assistance, or contact us at admin@orderexpress.app.

Costs and carriers

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, and most US mobile carriers.

Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use-case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Phone numbers collected for SMS are used solely to deliver the transactional messages described above. See our Privacy Policy for details.

16. Service Availability

  • We aim for 99.9% uptime for the Order Express ordering website. This is a target we work to, not a guarantee, and it does not come with service credits.
  • Scheduled maintenance, if needed, will be communicated at least 48 hours in advance and performed during off-peak hours.
  • We are not liable for downtime caused by your internet provider, domain registrar, or third-party integrations.

17. Language of This Agreement

Order Express currently supports English, with additional languages (including Spanish and Chinese) available for the customer ordering experience. Support for additional languages may be added in the future.

These Terms are made in English, and the English version governs. We may provide translations or plain-language summaries of parts of these Terms — including our summary of fees and billing, offered in English, Spanish, and Chinese — for convenience only. A translation or summary does not change the meaning of these Terms. If anything in a translation or summary differs from the English version, the English version applies.

18. Limitation of Liability

Order Express is provided "as is." While we strive for accuracy and availability, we are not liable for lost revenue, incorrect orders, or service interruptions. Your use of Order Express is at your own risk.

19. Changes to These Terms

We may update these Terms from time to time. Every version carries the date it was published. Whenever we change them we email you at the address on your account, and the current version is always on our website.

  1. Changes that affect your money or your risk need your agreement. If a change affects what you pay or what your Customers pay, how or when we bill you, who is responsible for refunds or disputes, or how Customer data is handled, we will email you at least 30 days in advance and ask you to agree to the new version. Until you agree, the version you last agreed to continues to govern.
  2. Smaller changes do not need a new signature. Corrections, clearer wording, renumbering, updated contact details, and changes to the list of providers who help us run the service do not change what you pay or what you are responsible for. We email you when we make one, and if you keep using Order Express afterwards, the updated Terms apply to you.
  3. We will not use the second to do the first. A change of the kind described in point 1 is never treated as a smaller change, whatever it is called and wherever it appears in this document.
  4. We keep the record. We keep a record of which version you agreed to and when. You can ask us for a copy of any version of these Terms, including one that is no longer current, at any time.
  5. If you do not agree. You can leave at any time, with no cancellation fee and no notice period — see section 11. Service Fees you already collected in person are still owed, and anything we already owe you is still owed.
